Abstract

Good Corporate Governance (GCG) is one of current issues that attracts businessmen and economist in Indonesia. GCG relates to a process and a structure of business management to increase shareholders' wealth for the long periods. There are four basic principles of GCG practices, these are (1) transparency, (2) accountability, (3) fairness, and (4) responsibility. For corporate- management purposes, these principles should be referred. In order to apply transparency principle, management of companies present additional information to users in their annual reports through voluntary disclosure practices. The objective of this research is to determine the voluntary disclosure items that are commonly presented in the Indonesian companies' annual reports. The analysis of how the objective is achieved is using three steps. Firstly, the number of voluntary disclosure items was gathered through previous studies (for example Firth, 1979; Chow 84 Wong-Boren, 1987; Cooke, 1991; Hossain et al., 1994; and Meek & Roberts, 1995). A preliminary list of 95 discretionary disclosure items was derived. Secondly, to identify the voluntary items, items classified as mandatory were eliminated by referring to the disclosure requirements of the Indonesian Accounting Standards (1995) and the BAPEPAMs regulations (1996). In order to avoid bias and to provide a cornprehensive list of voluntary disclosure items, the items to be selected should be covered in previous research studies, and the item is not mandated or regulated by the Indonesian Accounting Standard (1995) and the BAPEPAM s regulation (1996). From 95 preliminary items, 16 items that were eliminated were either mandatory disclosures or irrelevant in the Indonesian context. Finally, discussion with several managing partners of Certified Public Accountants (CPA) firMS, accounting academicians, and officials of the Jalcarta Stock Exchange was held to verify the list of voluntary disclosure items. From this discussion, 18 items were eliminated since these items have been mandated by additional BAPEPAM's regulation. Their feedbacic was used to compile or refine a final list of 61 items. These items become a basis for conducting continuing research. Good Corporate Governance (GCG) adalah salah satu isu hangat yang menarik perhatian para ekonom dan pelaku bisnis di Indonesia saat ini. GCG adalah merupakan proses dan struktur pengelolaan bisnis dan urusan perusahaan lainnya dalam rangka meningkatkan kemakmuran (wealth) dan akuntabilitas perusahaan dengan tujuan mewujudkan nilai pemegang saham (shareholders) yang optimal dalam jangka panjang. Terdapat empat prinsip dasar praktek good gorporate governance, yaitu transparansi, akuntabilitas, keadilan, dan tanggungjawab. Keempat prinsip dasar ini hams menjadi acuan dalam penyelenggaraan perusahaan. Salah satu cara untuk mewujudkan prinsip transparansi, manajemen perushaan menyajikan informasi tambahan bagi para pemakai dalamlaporan tahunannya melalui prkatek voluntry disclosure. Tujuan penelitian tahun pertama ini adalah mengidentifikasi informasi yang bersifat voluntary yang biasanya dipraktekkan oleh perusahaan yang telah go-public di Indonesia dalam laporan tahunannya. Tiga tahap analisis dilakukan guna mencapai tujuan tersebut. Analisis yang pertama adalah melakukan studi komparasi untuk mengidentifikasi item-item yang tergolong voluntary dengan mengacu pada hasil penelitian terdahulu (misal Firth, 1979; Chow & Wong-Boren, 1987; Cooke, 1991; Hossain et al., 1994; and Meek & Roberts, 1995). Hasilnya diperoleh 95 informasi yang tergolong voluntary. Analisis selanjutnya adalah menghilangkan item yang bersifat mandatory disclosure dengan mengacu pada aturan yang telah ditetapkan oleh BAPEPAM dan Ikatan Akuntan Indonesia. Analisis tahap dua ini menghasilkan i6 item dihapus sehingga tinggal 79 item. Selanjutnya 79 item tersebut divalidasi dengan melakukan diskusi dengan para praktisi dan akademisi untuk menetapkan Whir final item yang bersifat voluntary. Akhirnya dari analisis ini diperoleh 61 item yang bersifat voluntary yang nantinya ke 61 informasi ini akan dipakai sebagai landasan untuk mengembangkan penelitian tahun berikutnya.
