Abstract
Kecenderungan bisnis untuk melakukan merger dan akuisisi (M & A), terjadi juga pada bisnis keuangan terutama bank. Di Indonesia, proses konsolidasi perbankan dilakukan melalui Arsitektur Perbankan Indonesia (API). Karena adanya perbedaan profitabilitas bank yang telah melakukan M & A dengan bank yang tidak melakukan M & A, maka maksud dari penelitian ini adalah untuk menguji dan menganalisis pengaruh efisiensi usaha (BOPO), risiko kredit (NPL), risiko pasar (NIM), Likuiditas (LDR), market share (TA) dan modal (CAR) terhadap profitabilitas (ROA) bank pasca merger di Indonesia. Penelitian dilakukan terhadap bank yang telah melakukan M & A dengan pooling data dari tahun 1999-2004 dan dianalisis dengan metode regresi berganda. Hasil penelitian menunjukkan bahwa BOPO, NPL, NIM, CAR dan market share mempunyai pengaruh yang signifikan terhadap profitabilitas (ROA) bank pasca merger di Indonesia, sedangkan LDR tidak signifikan. Secara keseluruhan, bank pasca merger di Indonesia mempunyai ratio BOPO, NPL, NIM, LDR, CAR dan MS, belum dapat memenuhi batasan-batasan yang telah ditetapkan oleh regulator. Hal ini membuktikan bahwa bank pasca merger di Indonesia yang telah melakukan merger sejak tahun 1999, belum dapat melaksanakan fungsi intermediasi secara optimal dan persoalan merger bukan merupakan permasalahan keuangan semata-mata, tetapi juga kepada persoalan non finansial. The tendency of merger and acquisition (M & A) in the business environment is also found in the financial business, especially banks. In Indonesia, bank consolidation process was done through the Arsitektur Perbankan Indonesia (API). Due to profitability differences between banks subsequent to M & A and non M & A banks, this research aims to test and analyze the effects of business efficiency (BOPO), credit risk (NPL), market risk (NIM), Liquidity (LDR), market share (TA) and equity (CAR) toward profitability (ROA) of banks subsequent to merger in Indonesia. The research was done on banks subsequent to M & A using a pooled data from year 1999-2004, and was analyzed with multiple regression method. The result shows that BOPO, NPL, CAR and market share affect the post merger banks profitability (ROA) in a significant amount, while LDR shows an insignificant effect. In general, Indonesian banks subsequent to M & A possess inadequate BOPO, NPL, NIM, LDR, CAR and MS ratios according to boundaries established by the regulators. This provides evidences that Indonesian banks subsequent to M & A since 1999, are still unable to perform an optimum intermediation, and the merger issues are not only financial, but also non financial.
