PENGGABUNGAN PERSEROAN TERBATAS DAN PERLINDUNGAN HUKUM BAGI PIHAK YANG DIRUGIKAN DALAM PENGGABUNGAN PERSEROAN TERBATAS

Abstract

A merger of Limited Liability Companies is one form of restructuring companies having the purpose to restructure Limited Liability Companies. The coordination of such merger has entered the of legal security by the issue of Law Number 1 Year 1995 regarding Lim ted Liability Companies and the Government's Regulation Number 27 Year 1998 regarding Merger, Consolidation, and Acquisition of Limited Liability Companies, whereby merger companies obtain more comprehensive coordination. The execution of a merger of Limited Liability Companies besides based on both aforementioned legal regulations, the special stipulation of "Lex specialis" for Limited Liability Companies, doing husiness in specific fiels, prevails. A merger of Limited Liability Companies constitutes an altematif for the company development to obtain an increase in efficiency, to strengthen the capacity for competitions, to widen the course of distribution and to obtain a broader market segment, however, on the other hand, it may also cause legal consequences inflicting prejudice to holders of minor shares, company's employees, creditors and the public. Problem emerging from a merger of limited liability Companies are, namely, how the merger of the Limited Liability Companies is executed and what legal consequences will appear from it; what legal protection is there in the Merger Limited Liability Company for the prejudiced parties and what obligation and responsibility from the Board of Directors and Commissioners can be expected in the framework of providing legal protection for the prejudiced parties in such Merger Limited Liability Company. Therefore, in executing the legal action on the merger of Limited Liability Companies, attention shall be paid to the parties' interests by providing legal protection. Penggabungan Perseroan Terbatas sebagai salah satu bentuk restrukturisasi perusahaan bertujuan untuk menyehatkan Perseroan Terbatas. Pengaturan Penggabungan Perseroan Terbatas telah memasuki era kepastian hukum dengan diterbitkamiya Undang-Undang Nomor I Tahun- 1995 tentang Perseroan Terbatas dan Peraturan Pemerintah Nomor 27 Tahun 1998 tentang Penggabungan, Peleburan dan Pengambilalihan Perseroan Terbatas, dimana penggabungan perusahaan mendapat pengaturan yang lebih komprehensif Pelaksanaan penggabungan Perseroan Terbatas selain didasarkan kedua peraturan perundang-undangan tersebut , juga berlaku ketentuan Ichusus "lex specialis" bagi Perseroan Terbatas dengan bidang usaha tertentu. Penggabungan Perseroan Terbatas merupalcan suatu alternatif bagi pengembangan perusahaan agar diperoleh peningkatan efisiensi, memperkuat daya saing, memperluas jalur distribusi dan memperoleh pangsa pasar yang lebih luas,tetapi pada sisi lain juga dapat menimbulkan akibat hukum yang dapat merugikan pemegang saham minoritas, karyawan perseroan, kreditur dan masyarakat. Dalam penggabungan Perseroan Terbatas timbul permasalahan, yaitu bagaimanakah pelaksanaan penggabungan Perseroan Terbatas dan akibat hukum yang ditimbulkan, bagaimanakah perlindungan hukum bagi pihak yang dirugikan dalam penggabungan Perseroan Terbatas serta bagaimana kewajiban dan tanggung jawab Direksi dan Komisaris dalam rangka memberikan peirlindungan hukum bagi pihak yang dirugikan dalam penggabungan Perseroan Terbatas. Oleh karena itu dalam melakulcan perbuatan hukum Penggabungan Perseroan Terbatas harus memperhatikan kepentingan pihak-pihak tersebut dengan memberikan perlindungan hukum.
