PELAKSANAAN KONTRAK ALM TEKNOLOGI ANTARA PERUSAHAAN ASING DAN PERUSAHAAN NASIONAL DALAM RANGKA MELINDUNGI KONSUMEN

Abstract

Kontrak alih teknologi merupakan faktor penguat terlaksananya peralihan dan pertukaran produk teknologi yang dihasilkan, dan kesepakatan bersama atau negosiasi oleh para pihak. Hal ini dimaksudkan untuk melindungi kepentingan para pihak dan jugs konsumen yang memanfaatkan produk teknologi tersebut. Terlaksananya kontrak alih teknologi akan dipengaruhi faktor-faktor pendukung yang kuat untuk proses peralihan dan proses penerapan atau pengaplikasian bagi para pihak. Faktor-faktor yang dapat mendukung hal tersebut yakni kualitas sumber daya manusia, ekonomi, hukum, teknologi, norma, kultur/ budaya hukum, dan politik. Penyimpangan kontrak dari pelaksanaan kontrak alih teknologi tentunya akan berdampak merugikan para pihak, khususnya akan dirasakan pihak penerima teknologi dan konsumen produk tersebut. Faktor yang mempengaruhi terjadinya kerugian bagi konsumen yaitu : kualitas produk berubah, harga yang rendah dan bahaya bagi kesehatan sehingga menimbulkan ketidakpuasan konsumen atas hasil produk alih teknologi. Untuk membahas permasalahan yang timbul dari kontrak alih teknologi tersebut di atas, dilakukan penelitian dengan menggunakan metode pendekatan socio-legal research artinya untuk dapat menjelaskan permasalahan tersebut. Penelitian ini tidak hanya melihat dari peraturan perundang-undangan yang ada melainkan peneliti mengkaitkannya dengan proses interaksi dalam kehidupan masyarakat selaku konsumen alih teknologi. Keikutsertaan pemerintah serta tindakan intervensi yang dilakukan oleh Pemerintah dapat berpengaruh terhadap pengembangan dan peningkatan alih teknologi serta penumbuhan tingkat kepercayaan khususnya dari pemerintah terhadap pihak asing, hubungan timbal-balik yang baik akan mempercepat proses peralihan teknologi dan pelaksanaan penerapan teknologi tersebut. Peningkatan kemampuan teknologi oleh pihak perusahaan nasional perlu didukung melalui pemasaran yang baik dalam mempengaruhi konsumen atas suatu produk teknologi yang dihasilkan. Berbagai terobosan yang dilakukan oleh perusahaan dalam upaya meningkatkan kemampuan penyerapan teknologi dapat dilakukan ke dalam dan ke luar, untuk meningkatkan kemampuan nilai daya saing dan nilai tambah yang mendukung peralihan teknologi tersebut. Perlindungan hukum perlu diterapkan diantara para pihak yakni perusahaan asing dan perusahaan nasional khususnya terhadap konsumen produk teknologi dalam kegiatan alih teknologi karena adanya hubungan hukum yang terus berjalan dan mengikat para pihak. Hukum berperan penting sebagai pelindung pihak yang menginvestasikan-pihak asing dan pihak penerima teknologi-pihak nasional dari pelaksanaan kontrak alih teknologi yang menyimpang sehingga dapat menghambat terciptanya iklim usaha yang sehat. Penciptaan iklim usaha yang sehat harus terus dikembangkan, melalui pengadaan sarana dan prasarana ekonomi yang memadai. Peraturan perundang-undangan yang mendukung pelayanan teknologi serta kebijaksanaan ekonomi makro yang tepat yang berkaitan erat dengan pembangunan ekonomi berlandaskan kemampuan dan kekuatan sendiri dengan pemanfaatan modal, teknologi, keahlian yang tersedia dart pihak perusahaan - asing terhadap pihak perusahaan - nasional dapat mengembangkan pengalihan teknologi Technology transferring contract is the supporting factor for the implementation for the product exchange and transfer, which is begun among the organization among parties. In the development and improvement of technology, the government's participation will strongly support gut the intervention which is done by the government will hamper the process. The emergence of trust rate, especially from the government toward the foreign parties, should be maintained, and reciprocal relationship must accelerate the process of technological transfer and implementation of technological application. To discus problem in technology transferring contract above to perform research with sociological research, it means for explain problem mentioned above it. This research not only shown from rule of law existing but research with hook interaction process in civil society as consumers for technological product. Government to join a long with get affect towards to expand and to increase technology transferring and to make grow level of trust for government towards foreign parties to pass mutual accelerate the process of technological product. The law protection needs to be implanted as the technological transferring activities are the law connection which runs continually, among many parties are the foreign and national parties, especially the consumers of technological product. Consequently, the role of law in the competitive rate of the efforts is aimed to protect the investor and receiver from the divergence of the technological transferring contract which will impeded the health business climate should be developed continually, through the provision of economical means and infrastructures. The law regulations which support the technological service as well the macro economical policies which suistable and strongly related to the economical development, based on the ability and self-force by capital exploitation, technology, skill which is sewed by the foreign company to the national one for improving the technological transfer.
