POLA HUBUNGAN HUKUM KEMITRAAN MELALUI BISNIS FRANCHISE DI INDONESIA

Abstract

Dalam rangka memberdavakan usaha kecil untuk ikut berperan dalam pembangunan nasional. pemerintab telah menciptakan suatu pole. keterkaitan kerjasama usaha antara pengusaha baser dengan pengusaha kecil yang disebut pole kemitraan. Salah satu kemitraan di1akukan dengan pole franchise (waralaba). Penelitian yang berjudul " Pole Hubungan Hukum Kemitraan Melalui Bisnis Franchise di Indonesia" ini bertujuan untuk mengetahui dan menggambarkan dengan jelas tentang: pengaturan pole hubungan hukum kemitraan melalui bisnis franchise. pole hubungan hukum kemitraaan melalui bisnis franchise. aspek hukum yang terkait dalam bisnis franchise. dan permasalahan yang timbul dalam hubungan hukum kemitraan melalui bisnis franchise dan penyelesaiannya. Menurut hashl penelitian. pengaturan pola hubungan hukum kemitraan melalui bisnis franchise ini terbaai dalam: (a) Pengaturan Pole Hubungan Hukum Kemitraan. yang mempunyal landasan pengaturan dalam: (1) UU No. 9 Tahun 1995 tentang Usaha Kecil. (2) Peraturan Pemerintah R.I No.44 Tahun 1997 tentang Kemitraan. (3) Keputusan Presiden R.I No. 99 Tahun 1998 tentang Bidang/ Janis Usaha Yana Dicadangkan Untuk Usaha Kecil Dan Bidang/Jenis Usaha Yang Terbuka Untuk Usaha Menengah Atau Usaha Baser Dengan Syarat Kemitraan. (2) Pengaturan Franchise sebelum Tahun 1997.(c) Pengaturan Franchise Tahun 1997 Sedangkan pola hubungan hukum kemitraan melalui bisnis franchise dilakukan dengan suatu perjanjian yang disebut perjanjian franchise antara (a) Franchisor dan Franchisee. Hubungan hukum yang terjadi adalah hubungan untuk melakukan kerjasama usaha. (b) Penerima Waralaba Utama dengan Penerima Waralaba Lanjutan. Hubungan hukum yang terjadi adalah hubungan untuk melakukan kerjasama usaha. Aspek-aspek hukum yang terkait dalam pola hubungan hukum kemitraan melalui bisnis franchise adalah aspek hukum perjanjian, aspek hukum hak cipta, aspek hukum paten, aspek hukum merek, aspek hukum ketenagakerjaan, aspek hukum pajak, aspek hukum perlindungan konsumen, aspek hukum perusahaan, aspek hukum administrasi, aspek hukum tata ruang. Permasalahan yang timbul dalam hubungan hukum kemitraan adalah masalah hukum yaitu masalah yang ada hubungan dan akibat hukum, dan masalah non hukum yaitu masalah yang tidak ada hubungannya dengan hukum tetapi dapat memutuskan hubungan kerjasama. Apabila timbul perselisihan antara kedua belah pihak diselesaikan dengan jalan musyawarah atau melalui arbitrase. In the frame-work of supporting small entrepreneurs to have a role in national development. the government has created a connection system of business cooperation between the large entrepreneurs and the small ones, called partnership system: held by franchise system. This research entitled " Law Connection System of Partnership Through Franchise Business in Indonesia" has a purpose to understand and explain clearly about: the arrangement of law connection system of partnership through franchise business, the law connection of partnership through franchise business. law aspect connected in franchise business. and the law connection problems of partnership through franchise business and the settlement of its problems. According to the result of this the arrangement of law connection system of partnership through franchise business, devided into : (a) The Arrangement of Partnership Law Connection System. which has a basic of regulation in: (1) Regulation No. 9/1995 about Small Entrepreneurs (stated in articles 6. 11. 26. 27. 28. 29. 30.31. and 32): (2) Government Regulation No. 44/1997 about Partnership of Business. (3) Presidential Decree of Republic of Indonesia No. 99/1998 about Many Kinds of Business Which Held To Support Small Entrepreneur and Opened Business For Middle or Large Entrepreneur in TheCondition of Partnership. (b) Franchise arrangement before 1997 (c) Franchise arrangement in 1997 Whereas the law connection system of partnership trough franchise business in a contract system which is called franchise contract between : (a) Franchisor and Franchisee. The law connection stated here is the law connection to hold the business cooperation. (b) Main Franchise Receiver and Continuation Franchise Receiver. The law connection occured here is the connection for holding the business cooperation. Law aspect correlated in a system of partnership law connection through franchise business are the law aspect of contract, the law aspect of copy right, the law aspect of patent, the law aspect of trade mark, the law aspect of matters pertaining to manpower, the law aspect of taxation, the law aspect of enterprise, the law aspect of administration, and the law aspect of room arrangement. The problem that appear in partnership law connection are the law problems which has effect and connection of law, and the problems which has no effect and connection in the law but able to decided the cooperation connection. If these is a dispute between both of sides settled trough negotiation or arbitration.
