Abstract
The Budgeting Agreement that has been done by Leasing Company by Securing Fiduciary and the Handling of Dispute in case of Wanprestation, Charles. 104 pages. Thesis. Semarang. Leasing as a business that moves in the field of budgeting services is a very helpful in capital supplying in the form of supporting equipments of production factor in a business, the specific characteristics of the leasing business is the leasing of capital object in a particular term, where in the end of the leasing term there are several options to buy leasing -object, to prolong the lease contract or without buying option, so it could facilitate the entrepreneurs who have limited capital. At the beginning, the leasing business in Indonesia was formed according to Surat Keputusan Bersama Tiga Menteri, they are : the Financial Minister, Indrustrial Minister and Trading Minister of Indonesian Republic. Leasing could be differentiated into two forms; they are Operational Lease; that is leasing without buying option and Financial lease; that is leasing by giving a buying option at the end of contract term of leased object. The new phenomenon in the leasing business is the entrance of security agreement of Fiduciary (According to ljndang-undang Nomor 42 tahun 1999) as one of the clauses in the financial lease that appear for investment security purposes from the leasing business. Fiduciary security itself must he correctly understood, both in correlation with the procedure of registration or the object that could be fiduciary, according to the theory given, it is not proper if the leasing object will he changed as a fiduciary object and according to the Undang-undang Jaminan Fidusia Nomor 42 Tabun 1999 on the Article 11, the fidusia object should be registered. Based to the main ideas mentioned above, the writer try to conclude that this research was used to measure how far the leasing party could understand the position ) as a lesser so far, how far is the leasing understanding to the budgeting agreement C---with the fiduciary security and also the handling of wanpre.slasi dispute in practice. The writer chose the title mentioned above with the reason that in the reality, there are many of leasing parties that did not understand their position yet as lessor and as the leasing business and the bad understanding of the fiduciary security, related to the regulation of Undang-undang Jaminan Fidusia Nomor 42 tahun 1999. As the results of this research, the writer hoped that he could give an input to the leasing about the better way to formulate a financial lease in the budgeting agreement with the fiduciary security, in order that it could protect the lessor interest. Leasing sebagai suatu usaha yang bergerak di bidang jasa pembiayaan sangat membantu pengadaan modal berupa alat-alat penunjang faktor produksi dan suatu usaha, dengan ciri khas dari usaha leasing adalah penyewaan obyek modal untuk jangka waktu 1 tertentu yang pada akhir masa sewa dapat diberikan opsi membeli obyek leasing, menyewa lagi atau tanpa opsi membeli, sehingga mempermudah bagi usahawan yang memiliki keterbatasan modal Adapun usaha leasing pada awalnya di Indonesia terbentuk berdasarkan Surat Keputusan Bersama Tiga Menteri yaitu ; Menteri Keuangan, Menteri Perindustrian dan Menteri Perdagangan Republik Indonesia. Leasing dapat dibedakan dalam dua bentuk yaitu Operational lease ; adalah leasing yang tanpa opsi membeli dan Finansial lease ; adalah leasing yang memberikan opsi membeli pada akhir masa sewa obyek leased. Fenomena barn dalam usaha leasing adalah masuknya perjanjian•jaminan Fidusia (Berdasarkan Undang-undang Nomor 42 tahun 1999) sebagai salah satu klausula dalam suatu finansial !Tease yang timbul karena kepentingan keamanan investasi dari usaha leasing. • ' Jaminan fidusia itupun haruslah dipahami secara benar, baik manyangkut tata cara pendaftarannya atau obyek yang dapat difidusiakan, berdasarkan tend yang ada tidak pantas obyek leasing menjadi obyek fidusia dan menurut Undang-undang Jaminan Fidusia Nomor 42 Tahun 1999 pada Pasal 11 seharusnya obyek fidusia didaftarkan. • f Dan dasar-dasar pikiran di atas penulis mencoba menarik garis penelitian yang ) antara lain untuk mengukur sejauh mana pihak leasing mengetahui posisihya sebagai lessor, s 7 bagaimana pemahaman leasing terhadap perjanjian pembiayaan dengan jaminan fidusia serta bagaimana penyelesaian sengketa wanprestasi dalam prakteknya. Pembahasan dengan judul di atas sengaja penulis pilih karena pada kenyataannya masih banyak pihak leasing belum memahami kedudukannya sebagai lessor dan sebagai usaha leasing dan minimnya pemahaman tentang jaminan fidusia, menyangkut aturan menurut Undang-undang Jaminan Fidusia Nomor 42 tahun 1999. Hasil dari penelitian ini diharapkan dapat memberi masukan bagi leasing tentang bagaimana sebaiknya merumuskan suatu finansial lease dalam perjanjian pembiayaan dengan jaminan fidusia, agar benar-benar dapat melindungi kepentingan lessor.
